Terms and Conditions — St. Petersburg Landscaping

These Terms and Conditions (“Terms”) govern your use of stpetersburglandscapingservices.com (the “Site”) and landscaping, lawn, hardscape, drainage, irrigation, maintenance, and related services provided by St. Petersburg Landscaping (“St. Petersburg Landscaping,” “we,” “us,” or “our”).

By using the Site, requesting a consultation or estimate, scheduling services, accepting a proposal, or authorizing work, you agree to these Terms where applicable.

A project-specific estimate, proposal, work order, maintenance agreement, contract, or change order may contain additional terms. If project-specific written terms conflict with these general Terms, the project-specific terms will control for that project.

1. Services

St. Petersburg Landscaping may provide residential, commercial, and HOA services including:

  • Landscape design;

  • Landscape installation;

  • Lawn and garden care;

  • Sod installation;

  • Artificial turf installation;

  • Soil preparation;

  • Grading;

  • Seeding;

  • Hardscaping;

  • Patios;

  • Fire pits and outdoor living features;

  • Drainage solutions;

  • Irrigation systems;

  • Turf care;

  • Commercial landscaping;

  • HOA landscaping;

  • Landscape maintenance; and

  • Related outdoor-property services.

Service availability depends on project location, scope, materials, weather, staffing, equipment, permits, site conditions, and other circumstances.

2. Consultations and Estimates

We may provide free consultations and estimates.

Unless expressly identified as a guaranteed fixed-price quotation, an estimate is based on information and conditions reasonably known when it is prepared.

Pricing may change if:

  • Actual measurements differ;

  • The customer changes the project scope;

  • Additional excavation or grading is required;

  • Unexpected soil conditions are discovered;

  • Drainage or irrigation issues are discovered;

  • Underground obstructions are encountered;

  • Additional materials or labor become necessary;

  • Access conditions materially differ;

  • Permit requirements affect the work; or

  • Other concealed or unexpected site conditions are discovered.

Where reasonably practicable, material changes in scope or price will be communicated before additional work is performed.

3. Project Scope

The specific work included in a project is determined by the accepted estimate, proposal, plans, specifications, maintenance agreement, contract, and approved change orders.

Services or materials not identified in the agreed scope are not included unless subsequently authorized.

Customers should carefully review project specifications before approving work.

4. Deposits and Payment

Projects may require a deposit before materials are ordered or work is scheduled.

Payment amounts, deposits, installment schedules, and final-payment requirements will be specified in the applicable proposal or agreement.

Customers agree to pay charges when due.

Additional authorized work may result in additional charges.

5. Scheduling

Project dates and completion estimates are provided in good faith but may change because of:

  • Rain;

  • Hurricanes or tropical storms;

  • Flooding;

  • Excessive ground saturation;

  • Extreme weather;

  • Material shortages;

  • Supplier delays;

  • Equipment problems;

  • Permit or inspection delays;

  • Utility issues;

  • Unforeseen site conditions;

  • Customer-requested changes; or

  • Other circumstances outside our reasonable control.

We will make reasonable efforts to communicate significant scheduling changes.

6. Customer Responsibilities

Customers agree to:

  • Provide accurate project and property information;

  • Provide reasonable access to the work area;

  • Identify known property restrictions and hazards;

  • Remove or protect personal property where reasonably necessary;

  • Secure pets and restrict children from active work areas;

  • Identify known underground systems;

  • Obtain property-owner or HOA authorization where required;

  • Make material, design, or plant selections in a timely manner;

  • Maintain irrigation and landscaping as instructed after installation; and

  • Make payments according to the agreed schedule.

7. Property Access and Equipment

The customer authorizes reasonable access to the property for personnel, vehicles, machinery, materials, deliveries, installation, maintenance, cleanup, and inspection.

Landscaping and hardscape projects may require trucks, trailers, compactors, excavators, loaders, sod equipment, and other machinery.

Customers should disclose fragile driveways, septic systems, irrigation, underground improvements, drainage structures, soft ground, or other conditions that may affect equipment access.

8. Underground Utilities and Private Systems

Applicable utility-location procedures may be used when required.

However, public utility-locating services may not identify privately installed systems, including:

  • Irrigation lines;

  • Landscape lighting;

  • Pool equipment lines;

  • Private electrical lines;

  • Drainage pipes;

  • Septic systems;

  • Invisible fencing;

  • Private water lines; and

  • Other private underground improvements.

Customers are responsible for disclosing known private underground systems.

Unexpected concealed conditions may result in additional work, project changes, delays, or additional charges.

9. Soil, Grading, and Site Conditions

Florida properties may experience sandy soils, settlement, erosion, heavy rainfall, groundwater conditions, tree-root activity, and other natural conditions.

We will perform agreed soil preparation and grading according to the applicable project scope.

Unless expressly included in a written agreement, landscaping or grading services do not constitute a comprehensive engineering, flood-control, foundation, or stormwater-management solution.

10. Drainage and Irrigation

Drainage and irrigation systems are affected by property elevations, soil, rainfall, water pressure, existing infrastructure, surrounding properties, vegetation, and other conditions.

Where drainage or irrigation work is included, the agreed scope will be identified in the applicable proposal.

We do not guarantee that a landscaping drainage project will prevent all standing water, flooding, erosion, or storm-related water intrusion unless expressly stated in a written warranty.

Irrigation systems require periodic inspection, adjustment, and maintenance.

11. Sod, Seed, and Natural Grass

Grass, sod, seed, and other living materials require appropriate watering and maintenance after installation.

Results may be affected by:

  • Weather;

  • Soil;

  • Irrigation;

  • Shade;

  • Pests;

  • Disease;

  • Foot traffic;

  • Pets;

  • Fertilization;

  • Mowing;

  • Customer maintenance; and

  • Other environmental conditions.

Unless expressly covered by a written warranty, we cannot guarantee the continued survival or condition of living turf after installation.

12. Artificial Turf

Artificial turf performance depends on proper use, drainage, site preparation, maintenance, and environmental conditions.

Artificial turf may become hot in direct sunlight and may require periodic cleaning or maintenance.

Manufacturer warranties, if any, are governed by the applicable manufacturer’s terms.

13. Plants and Landscaping Materials

Plants, trees, shrubs, flowers, sod, and other living materials naturally vary in:

  • Size;

  • Shape;

  • Color;

  • Growth;

  • Appearance; and

  • Performance.

Plant health may be affected by weather, watering, soil, disease, insects, animals, fertilizer, maintenance, and environmental conditions outside our control.

14. Hardscaping and Outdoor Living

Hardscape services may include patios, walkways, fire pits, borders, and other outdoor features.

Concrete, stone, pavers, brick, and similar materials may naturally vary in color, texture, pattern, and appearance.

Minor variations are not necessarily defects.

Settlement, tree roots, drainage, soil movement, weather, and external loads may affect hardscape surfaces over time.

15. Material Availability

Specific plants, sod, turf, pavers, stone, fixtures, irrigation components, or other materials may occasionally become unavailable.

Where necessary, we may recommend reasonably comparable alternatives.

Material substitutions that materially alter the agreed design or specifications will be communicated for appropriate customer authorization.

16. Change Orders

Customer-requested changes or unforeseen conditions may require a change order.

Changes may affect price and completion time.

Examples include:

  • Increasing project dimensions;

  • Changing materials;

  • Adding plants or landscaping;

  • Additional grading;

  • Additional drainage;

  • Irrigation modifications;

  • Additional hardscaping;

  • Removal of unexpected obstacles; or

  • Other work outside the original scope.

17. Permits and Approvals

Some landscaping, hardscape, drainage, irrigation, or outdoor construction projects may require:

  • Permits;

  • Inspections;

  • HOA approval;

  • Property-owner approval;

  • Right-of-way authorization; or

  • Other governmental or private approvals.

Responsibility for obtaining and paying for required approvals will be determined by the applicable project agreement.

18. Commercial and HOA Maintenance

Commercial and HOA landscaping services may be provided on a recurring basis under a separate maintenance agreement.

The maintenance agreement should specify:

  • Service frequency;

  • Included areas;

  • Included services;

  • Seasonal work;

  • Pricing;

  • Payment schedule;

  • Term;

  • Renewal conditions; and

  • Cancellation requirements.

Recurring maintenance does not guarantee that landscaping will remain completely free of weeds, pests, disease, storm damage, or natural deterioration.

19. Weather and Storm Damage

Outdoor landscapes are affected by Florida weather.

We are not responsible for damage caused solely by hurricanes, tropical storms, flooding, lightning, extreme heat, drought, high winds, or other natural events outside our reasonable control.

Storm cleanup or restoration is not included unless specifically agreed.

20. Customer Maintenance

Customers are responsible for reasonable maintenance after installation unless ongoing maintenance services are included in the agreement.

Recommended maintenance may include:

  • Watering;

  • Mowing;

  • Fertilization;

  • Weed control;

  • Pest management;

  • Irrigation adjustment;

  • Drainage maintenance;

  • Cleaning; and

  • Following care instructions.

Failure to properly maintain installed materials may affect their performance and any applicable warranty.

21. Workmanship Concerns

Customers should inspect completed work promptly and notify us within a reasonable period of apparent workmanship concerns.

We must be given a reasonable opportunity to inspect a claimed problem and, where covered by an applicable written agreement or warranty, determine an appropriate remedy.

22. Cancellations and Rescheduling

Customers should provide reasonable notice when cancelling or rescheduling work.

Project-specific cancellation, deposit, or rescheduling provisions will be governed by the applicable proposal or contract.

We may postpone work because of weather, unsafe conditions, material availability, equipment issues, access problems, or circumstances outside our reasonable control.

23. Website Information

Website content is provided for general informational and marketing purposes.

Project-specific pricing, scope, materials, warranties, schedules, and obligations are determined by the applicable written proposal, estimate, maintenance agreement, or contract.

Website photographs and descriptions are illustrative and do not guarantee identical results for every property.

24. Intellectual Property

Unless otherwise indicated, the Site’s original content, design, graphics, photographs, branding, and other proprietary materials are owned by or licensed to St. Petersburg Landscaping.

You may not reproduce, distribute, commercially exploit, or systematically copy proprietary Site content without permission except as permitted by law.

25. Third-Party Websites and Services

The Site may link to social-media platforms, maps, suppliers, manufacturers, or other third-party services.

We do not control and are not responsible for independently operated third-party websites, products, or services.

26. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

LANDSCAPING RESULTS MAY VARY BECAUSE OF SOIL, WEATHER, WATERING, DRAINAGE, MAINTENANCE, PESTS, DISEASE, PLANT CHARACTERISTICS, PROPERTY CONDITIONS, AND OTHER FACTORS.

NOTHING IN THESE TERMS ELIMINATES AN EXPRESS WRITTEN WARRANTY PROVIDED FOR A PARTICULAR PROJECT.

27. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ST. PETERSBURG LANDSCAPING WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM USE OF THE SITE OR SERVICES.

FOR CLAIMS ARISING FROM A PARTICULAR PROJECT, OUR AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNT PAID TO US FOR THE PORTION OF THE PROJECT GIVING RISE TO THE CLAIM, EXCEPT WHERE APPLICABLE LAW PROHIBITS SUCH A LIMITATION.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

28. Indemnification

To the extent permitted by law, customers agree to indemnify and hold harmless St. Petersburg Landscaping and its owners, employees, and agents from third-party claims arising from:

  • Incorrect information supplied by the customer;

  • The customer’s lack of authority to authorize work;

  • Undisclosed private utilities or property conditions;

  • Customer instructions that infringe another person’s rights; or

  • The customer’s violation of these Terms.

29. Force Majeure

We are not responsible for delays or failure to perform caused by circumstances reasonably outside our control, including hurricanes, tropical storms, flooding, severe weather, governmental actions, utility interruptions, material shortages, supply-chain disruptions, equipment failures, or similar circumstances.

30. Governing Law

These Terms and services are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Subject to applicable law, disputes will be brought in a court of competent jurisdiction in Pinellas County, Florida.

31. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

32. Changes to These Terms

We may update these general Site Terms periodically.

Updated Terms will be posted on the Site with a revised “Last Updated” date.

Changes to these general Site Terms will not retroactively modify a signed project or maintenance agreement unless permitted by law or agreed by the parties.
